1. Introduction

These Terms of Service form a legally binding agreement between you ("you" or "User") and OnlineKix, a dba of Revgenic LLC ("OnlineKix," "we," "us," or "our") regarding your access to and use of our website, preview concepts, content, tools, and any other products or services we provide (collectively, the "Service").

By accessing or using the Service in any manner, including but not limited to visiting or browsing the website, submitting your website information, or viewing design previews, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

We may update these Terms from time to time to reflect changes to our practices, Service, or applicable laws. When we make changes, we will update the "Last updated" date above. Your continued use of the Service after any changes become effective constitutes acceptance of the revised Terms.

2. User Agreements & Eligibility

• Access or attempt to access any portion of the Service or its related systems or networks that you are not authorized to access, including via automated means such as bots, scrapers, or crawlers.
• Interfere with or disrupt the integrity, performance, or security of the Service, including by introducing viruses, malware, or other harmful code.
• Use the Service to transmit any unsolicited or unauthorized advertising, promotional materials, spam, or any other form of solicitation.

• Use any design previews, mockups, or materials we provide in a way that violates the intellectual property or other rights of OnlineKix or any third party.

We may monitor use of the Service to ensure compliance with these Terms and to protect our legitimate interests, but we are not obligated to do so. We reserve the right to investigate any suspected violations and to pursue any remedies available under applicable law.

4. Intellectual Property & License

All content and materials made available through the Service, including but not limited to text, graphics, logos, icons, images, design concepts, preview mockups, layouts, and software, are owned by or licensed to OnlineKix and are protected by copyright, trademark, and other intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and view the design previews and related materials we provide solely for the purpose of evaluating potential design directions for your own business or internal use. This license does not permit you to resell, redistribute, or commercially exploit our materials for the benefit of any third party without our prior written consent.

You retain all rights in and to any content, trademarks, or materials that you provide to us for the purpose of creating a preview ("Client Content"). By submitting Client Content, you grant us a limited, non-exclusive, royalty-free license to use, reproduce, and modify such content solely as necessary to provide the Service to you.

5. Disclaimers & Limitation of Liability

The Service, including all design previews, content, and materials, is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, OnlineKix expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising out of course of dealing or usage of trade.

We do not warrant that the Service will be uninterrupted, secure, or error-free, that any defects will be corrected, or that the Service or the servers that make it available are free of viruses or other harmful components. Any reliance on the Service or the information, design previews, or recommendations provided is at your own risk. You are solely responsible for evaluating the suitability of any design or recommendation for your particular business, technical environment, and legal obligations.

To the fullest extent permitted by law, in no event shall OnlineKix, its owners, employees, contractors, partners, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, goodwill, or other intangible losses, arising out of or in connection with your use of (or inability to use) the Service, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if we have been advised of the possibility of such damages.

To the fullest extent permitted by law, our total aggregate liability for any claim arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the amount, if any, you paid us for the Service giving rise to the claim during the three (3) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (USD $100).

Some jurisdictions do not allow the exclusion or limitation of certain damages or implied warranties, so some of the above exclusions and limitations may not apply to you. In such cases, our liability will be limited to the fullest extent permitted by applicable law.

6. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe that you have violated these Terms, engaged in fraudulent or abusive activity, or if we are required to do so by law. Upon termination, your right to use the Service will immediately cease, and any licenses granted to you under these Terms will terminate.

Sections of these Terms that by their nature should survive termination shall continue in full force and effect, including but not limited to intellectual property provisions, disclaimers, limitations of liability, and governing law provisions.

7. Governing Law & Dispute Resolution

These Terms and any dispute arising out of or relating to the Service shall be governed by and construed in accordance with the laws of the jurisdiction in which OnlineKix is organized, without regard to its conflict of law provisions.

You agree that any legal action or proceeding arising under or relating to these Terms or the Service shall be brought exclusively in the courts located within that jurisdiction, and you hereby consent to the personal jurisdiction and venue of such courts.
